  1. AGREEMENT TO TERMS
    These Terms and Conditions (“Terms”) form a legally binding agreement between you (“you” or “User”) and H&I Capitech Sdn Bhd (“Company,” “we,” “us,” or “our”) governing your access to and use of [Website URL] and related content and services (collectively, the “Site”).   3. SCOPE OF SERVICES
    We operate in the following business lines:
    3.1 Retail & Trading: Sale and supply of goods via the Site or authorized channels.
    3.2 Business Consulting: Advisory and implementation services under a proposal, statement of work (SOW), or master services agreement (MSA).
    3.3 Education & Training: Instructor-led or self-paced courses, workshops, certifications, and learning materials delivered in-person or online.
    3.4 Digital Marketing: Campaign strategy, media planning/buying, content production, social media, SEO/SEM, analytics, and managed services subject to a brief or SOW.

  4. ORDERS, PRICING, AND PAYMENT (RETAIL & TRADING)
    4.1 Product Information: We aim for accuracy in descriptions, images, availability, and pricing, but errors may occur. We may correct errors and cancel affected orders.
    4.2 Offer and Acceptance: Your order is an offer. Acceptance occurs when we confirm dispatch or deliver the product.
    4.3 Pricing and Taxes: Prices are in [Currency] and may include/exclude taxes, duties, shipping, and fees as indicated. Prices may change without notice.
    4.4 Payment Methods: We accept the payment methods shown at checkout. You authorize us and our processors to charge your selected method.
    4.5 Title and Risk: Title passes upon full payment; risk passes at delivery according to the chosen shipping method.

  5. SHIPPING, DELIVERY, AND RETURNS (RETAIL & TRADING)
    5.1 Delivery: Delivery timeframes are estimates and may be affected by courier logistics, customs, or events beyond our control.
    5.2 Inspection: Inspect items upon receipt and report defects or discrepancies within [X] days.
    5.3 Returns and Refunds: Our Returns & Refunds Policy applies. Returns may require items to be unopened, in original packaging, with proof of purchase, and within specified time limits.

  6. CONSULTING, TRAINING, AND MARKETING ENGAGEMENTS
    6.1 SOW Priority: Scope, deliverables, timelines, fees, and acceptance criteria are defined in the relevant SOW or proposal. In case of conflict, the SOW prevails for that engagement.
    6.2 Client Obligations: Provide access to necessary information, stakeholders, systems, and approvals.
    6.3 Changes: Material scope changes require a written change order with agreed impacts on fees and timelines.
    6.4 Fees and Invoicing: Fees are payable per the SOW/MSA. Late payments may incur interest at agreed amount per month and/or service suspension.
    6.5 Training Policies: Enrollment, rescheduling, cancellations, attendance, assessments, and certification are subject to course-specific rules.
    6.6 Campaigns: Media budgets, platforms, KPIs, approvals, and third-party platform rules apply. Performance depends on external factors (e.g., algorithms, bids, market conditions).

  7. INTELLECTUAL PROPERTY
    7.1 Site Content: The Site and all content are owned or licensed by us and protected by intellectual property laws.
    7.2 License: We grant you a revocable, non-exclusive, non-transferable license to use the Site for personal or internal business purposes.
    7.3 Restrictions: You may not copy, modify, reverse engineer, decompile, disassemble, or create derivative works without written consent.
    7.4 Deliverables: Ownership and usage rights for consulting, marketing, and training deliverables are governed by the SOW/MSA. Unless otherwise agreed, a limited license to use deliverables is granted upon full payment.
    7.5 Trademarks: All trademarks and service marks are proprietary to their respective owners. No rights are granted without consent.

  8. USER CONTENT AND ACCEPTABLE USE
    8.1 User Content: If you submit content (e.g., reviews, comments, files), you grant us a worldwide, royalty-free license to use, reproduce, display, distribute, and create derivative works for Site operation and marketing, subject to law and our Privacy Policy.
    8.2 Acceptable Use: You must not violate laws or third-party rights; post unlawful, defamatory, obscene, fraudulent, or harmful content; upload malware; attempt to hack or disrupt the Site; misrepresent your identity; or infringe IP, privacy, or publicity rights. We may remove content or suspend access for breaches.

  9. DATA PROTECTION, PRIVACY, AND COOKIES

    10.2 E-Signatures: Electronic signatures and records are valid under the Electronic Commerce Act 2006, subject to legal requirements.

  11. THIRD-PARTY LINKS AND PLATFORMS
    The Site may link to third-party websites, tools, or platforms. We do not control and are not responsible for third-party content, policies, or practices. Your use is at your own risk and subject to those third parties’ terms.

  12. WARRANTIES AND DISCLAIMERS
    12.1 General: The Site and services are provided “as is” and “as available” without warranties, express or implied, to the maximum extent permitted by law.
    12.2 Products: Any product warranties are as stated on the product page or by the manufacturer.
    12.3 Services: We exercise reasonable care and skill but do not guarantee specific outcomes (e.g., rankings, revenues) in digital marketing.
    12.4 Training: Outcomes depend on learner engagement, prior knowledge, and assessment performance.

  13. LIMITATION OF LIABILITY
    To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, revenue, data, or business interruption) arising from or related to your use of the Site, products, or services.     22.3 No Waiver: Failure to enforce any provision does not constitute a waiver.
    22.4 Assignment: You may not assign rights or obligations without our written consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset transfer.
    22.5 Language: If translated, the English version prevails in case of conflict, unless required otherwise by law.
